Agreement to Terms

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business and website
  • Grant necessary access to your website, analytics, and relevant platforms
  • Respond to requests for information or approval in a timely manner
  • Comply with all applicable laws and regulations
  • Not engage in any practices that could harm our reputation or violate search engine guidelines
  • Maintain the confidentiality of any login credentials provided

Payment Terms

Payment terms are specified in your service agreement. Generally:

  • Payments are due according to the schedule outlined in your contract
  • Late payments may result in service suspension or termination
  • All fees are non-refundable unless otherwise stated in your agreement
  • Prices are subject to change with 30 days' notice
  • You are responsible for all taxes associated with the services

Service Guarantees and Results

While we strive to deliver the best possible results:

  • We cannot guarantee specific search engine rankings or traffic levels
  • Search engine algorithms are constantly changing and outside our control
  • Results vary based on industry competition, website condition, and other factors
  • We provide effort-based services, not outcome guarantees
  • Any estimated timelines or projections are approximations, not guarantees

Intellectual Property

All materials, tools, methodologies, and reports created by Park City SEO remain our intellectual property unless otherwise agreed in writing. This includes:

  • SEO strategies and methodologies
  • Proprietary tools and software
  • Templates and frameworks
  • Training materials

Content created specifically for your website (such as blog posts or landing pages) becomes your property upon full payment.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This includes business strategies, financial information, and trade secrets. Confidentiality obligations survive the termination of services.

Term and Termination

Service terms are defined in your contract. Generally:

  • Either party may terminate services with written notice as specified in your agreement
  • We reserve the right to terminate services immediately for non-payment or breach of terms
  • Upon termination, you remain responsible for payment of all services rendered
  • We will provide a final report of work completed upon request
  • No refunds are provided for early termination unless specified in your contract

Limitation of Liability

To the maximum extent permitted by law:

  • Park City SEO shall not be liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not responsible for third-party actions, including search engine algorithm changes
  • We are not liable for losses due to website downtime, hosting issues, or technical problems beyond our control

Warranties and Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties including:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding specific results or outcomes
  • Warranties of uninterrupted or error-free service

Indemnification

You agree to indemnify and hold harmless Park City SEO from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of a third party.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Utah, and Utah law shall govern these terms.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
